    Model clauses to ask for

Five terms that are usually negotiable, written as contract language you can paste into a redline. Change the bracketed values to your own, then have a lawyer licensed in your state read the result.

The wording is illustrative and was written by Andwise. It is not legal advice and not a substitute for a contract drafted for your state. The clause library explains what each term does; the contract checker finds the version you were given.

    Prorated signing-bonus repayment

MGMA's February 2026 poll found most groups that use clawbacks prorate them by time worked.

If Physician's employment ends before the end of the 24-month commitment period for any reason other than termination by Employer for Cause, any repayment owed shall be reduced by 1/24 for each full month Physician worked.

Change before use: commitment months (24)

Employer-paid tail if employment ends without cause

Attorney commentary describes this as a common compromise where the contract would otherwise make the physician pay.

If Employer terminates this Agreement without Cause, or Physician terminates for Employer's uncured material breach, Employer shall purchase tail coverage (or provide equivalent prior-acts coverage) at Employer's expense with limits no lower than those in effect during employment.

wRVU rate restated for the 2026 efficiency adjustment

CMS cut work RVUs by 2.5% on non-time-based codes for 2026; consulting firms report some employers restating to prior values.

For services in 2026, work RVUs shall be calculated using the 2025 CMS work RVU values, or the conversion factor shall be adjusted so that Physician's compensation for the same services is not reduced by the CMS efficiency adjustment.

Non-compete measured from sites where you worked

Attorney commentary notes that measuring from every system location can cover a whole region.

The restricted radius shall be measured only from the locations at which Physician regularly provided services during the 12 months before termination, and shall not apply if Employer terminates Physician without Cause.

Change before use: look-back months (12)

    Mutual without-cause notice

The AMA's model contract guidance recommends mutual notice of at least 90 days and a 30-day cure period.

Either party may terminate this Agreement without Cause on 90 days' prior written notice. Before terminating for Cause, the terminating party shall give written notice and 30 days to cure.

Change before use: notice days (90) · cure days (30)

Rank the asks before the first call: a prorated clawback and employer-paid tail usually cost the employer little and move six figures of risk. Compare the package to see which term changes the decision.
